Rizzly Terms of Use
Last updated: September 30, 2026
These Terms of Use (the “Terms”) are a binding agreement between you and Rizzly, Inc., a Michigan corporation (“Rizzly,” “we,” or “us”). They govern your use of rizzly.io and the Rizzly platform, including the lead marketplace, CRM, automated outreach, AI calling and call coaching, and our APIs (together, the “Service”).
By creating an account or using the Service, you agree to these Terms, our Privacy Policy (/privacy), and our Refund & Replacement Policy (/refund-policy). If you use the Service for a company, you agree on its behalf and confirm you can bind it, and “you” then means that company. If you do not agree, do not use the Service.
Eligibility & Accounts
- You must be at least 18 years old and use the Service for business purposes. The Service is not for personal, family, or household use.
- Give us accurate account, business, and billing information and keep it current.
- You are responsible for your sign-in credentials and for everything done under your account and workspace. Tell us right away at [email protected] if you suspect unauthorized access.
- Workspace owners and admins control who can access their workspace and are responsible for the actions of the people they invite.
- API keys we issue to you are confidential credentials. Do not share them, and rotate a key if it may have been exposed.
The Service
Rizzly provides tools to buy real estate seller leads, manage them in a CRM, contact them by text, email, and phone, and assist calls with AI. We may add, change, or remove features over time.
Some features rely on third-party services such as phone carriers, payment processors, and Google. Your use of those features may also be subject to the third party’s terms, and their availability is outside our control. Features labeled beta or preview may change or end without notice.
Buying Leads
- Leads are sold per lead at the price shown or agreed when you buy them. A lead is delivered when it appears in your account or is sent to a system you connected.
- Your markets, filters, and budgets control which leads you are offered, and you are responsible for keeping them accurate.
- Rizzly screens and verifies leads, but we do not promise that any lead will answer, be interested, or lead to a transaction. A lead that does not meet our quality standards is handled under the Refund & Replacement Policy (/refund-policy), which is your only remedy for that lead.
- A purchased lead is licensed to you for your own real estate business: to contact the property owner about their property, within the law and the consent they gave. You may not resell, share, or transfer purchased leads without our written permission.
Payments, Credits & Billing
- You authorize Rizzly and its payment processors, Stripe and Mercury, to charge your payment method, or debit your bank account for bank payments, for the leads, credits, and other paid features you buy. Prices do not include taxes unless stated, and you are responsible for applicable taxes.
- Credits. Credits are a prepaid balance you can spend only in the Service. They have no cash value, cannot be transferred, and are refundable only as the Refund & Replacement Policy or the law provides.
- Bank payments. Credits bought by bank transfer are added only after the transfer clears. If a bank payment is returned or reversed, we deduct the credits it bought from your balance. Any shortfall becomes a past-due amount: your workspace cannot buy leads or spend credits until it is paid, and we may charge your card on file for it.
- Disputes and chargebacks. Payment disputes follow the Refund & Replacement Policy, including account suspension while a dispute is open and the administrative fee it describes.
- Separate agreements. Pay-per-close partnerships and other custom arrangements are governed by the separate agreement you sign for them, which controls if it conflicts with these Terms.
Texting, Calling & Email Compliance
You are responsible for every text, call, and email you or your workspace sends through the Service, including messages sent automatically by sequences, schedules, or AI agents you turn on. You agree to follow every law and rule that applies to them, including the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, the CAN-SPAM Act, state telemarketing and call-recording laws, Do Not Call rules, and carrier and 10DLC requirements. In particular, you agree to:
- Contact a lead only with the consent the law requires, and only within the scope of that consent.
- Honor opt-out requests immediately, and never re-contact a lead who opted out.
- Respect quiet hours and the calling-time limits that apply where the lead is located.
- Check national, state, and internal Do Not Call lists where the law requires it.
- Give any notice and get any consent the law requires before recording a call or using an artificial or AI-generated voice.
- Give accurate information for 10DLC and other carrier registrations and keep it current.
Rizzly may apply safeguards such as quiet-hours checks and opt-out handling, but those safeguards do not make your messages compliant, and compliance remains your responsibility. We may block, delay, or stop messages, release or suspend phone numbers, or suspend your account if we believe sending would violate the law, carrier rules, or these Terms.
AI Features
- AI features generate texts, call responses, transcripts, coaching cues, and summaries automatically. AI output can be wrong, incomplete, or inappropriate. Review it before you rely on it, and do not treat it as legal, financial, or valuation advice.
- An AI agent you turn on to talk with leads acts on your behalf, and you are responsible for what it says as if you had sent the message yourself.
- Do not use AI features to impersonate a real person, to hide from a lead that they are talking with an automated system where the law requires you to tell them, or in any other way that breaks the law.
Google & Other Connected Accounts
When you connect a Google account or another service, you authorize Rizzly to use it as described in our Privacy Policy (/privacy) — for example, to send email from your Gmail address and to read and update your Google Calendar. You are responsible for the messages Rizzly sends at your instruction. You can disconnect at any time; features that depend on the connection then stop working.
Your Content & Data
You keep ownership of the content and data you upload or create in the Service (“Your Content”), such as notes, messages, imported contacts, and recordings. You grant Rizzly a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display Your Content only as needed to operate, secure, and improve the Service and to comply with the law.
You are responsible for having the rights and consents Your Content needs, including consent to contact anyone you import. We may use aggregated or de-identified data that does not identify you or any individual to operate and improve the Service.
Acceptable Use
You agree not to:
- Break the law, or send spam or harassing, deceptive, or fraudulent messages.
- Discriminate against anyone in violation of fair housing or other anti-discrimination laws.
- Submit fake, stolen, or non-consented leads, or manipulate bids, refunds, or the marketplace.
- Access the Service by automated means other than our published APIs, or scrape, copy, or resell the Service or its data.
- Probe or test the Service for vulnerabilities, or get around its security or usage limits.
- Reverse engineer the Service, except where the law allows it despite this restriction.
- Upload malware, or content that infringes someone else’s rights.
- Use the Service to build a competing product.
Lead Providers & API Access
If you send leads to Rizzly through our APIs or integrations, you promise that each lead was generated lawfully, that the property owner gave any consent needed for Rizzly and its customers to contact them by the channels the lead is used for, and that you will provide consent records, such as a TrustedForm certificate, when we ask. A separate provider agreement, if you have one, sets the payment terms for the leads you sell to Rizzly.
We may rate-limit, change, or version our APIs, and we publish the current contracts in our API documentation.
Rizzly’s Intellectual Property
The Service, including its software, design, text, and trademarks, belongs to Rizzly and its licensors and is protected by law. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for your internal business purposes. If you send us feedback or suggestions, we may use them without any obligation to you.
Suspension & Termination
- You may stop using the Service at any time, and you can close your account by emailing [email protected].
- We may suspend or end your access, with or without notice, if you breach these Terms, create risk or legal exposure for Rizzly or others, do not pay amounts due, or if the law, a phone carrier, or a payment processor requires it.
- When your access ends, your right to use the Service ends too. Amounts you owe remain due, and the sections that by their nature should continue — including payment, disclaimers, limitation of liability, indemnification, and governing law — continue to apply.
Disclaimers
The Service, leads, and AI output are provided “as is” and “as available.” To the fullest extent the law allows, Rizzly disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Service will be uninterrupted, error-free, or secure, or that any lead will lead to a transaction.
Property data, valuations, and other third-party information are provided for convenience and may be inaccurate. Nothing in the Service is legal, tax, or financial advice.
Limitation of Liability
To the fullest extent the law allows, Rizzly and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, deals, data, or goodwill, arising out of or relating to the Service or these Terms, even if we were told they were possible.
Rizzly’s total liability for all claims arising out of or relating to the Service or these Terms is limited to the amount you paid Rizzly in the 12 months before the event that gave rise to the claim. These limits apply to every theory of liability, even if a remedy fails of its essential purpose.
Indemnification
You will defend, indemnify, and hold harmless Rizzly and its officers, employees, and agents against any claims, damages, losses, fines, and expenses, including reasonable attorneys’ fees, arising out of your use of the Service, Your Content, your texts, calls, and emails to leads, your breach of these Terms, or your violation of any law or anyone’s rights — including claims under the TCPA and other telemarketing laws.
Governing Law & Disputes
These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought only in the state or federal courts located in Michigan, and you and Rizzly consent to their personal jurisdiction.
Before filing a claim, you agree to email [email protected] and try in good faith to resolve the dispute informally for at least 30 days.
Changes to These Terms
We may update these Terms from time to time. The current version will always be available at /terms, with the date it was last updated. If we make a material change, we will notify account holders by email or in the Service before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.
General
- Entire agreement. These Terms, the policies they reference, and any separate agreement you sign with Rizzly are the entire agreement between you and Rizzly about the Service. If a separate signed agreement conflicts with these Terms, the signed agreement controls.
- Assignment. You may not assign these Terms without our written consent. We may assign them as part of a merger, acquisition, or sale of assets.
- Severability and waiver. If any provision is found unenforceable, the rest remain in effect. Not enforcing a provision is not a waiver of it.
- Events beyond our control. We are not liable for delays or failures caused by events beyond our reasonable control, including outages of phone carriers, networks, or third-party services.
- Notices. We may send notices to the email address on your account, and you agree to receive agreements, notices, and receipts electronically. Send notices to us at [email protected].
